1. Agreement to Terms

By accessing and using the services of 223 Media ("Company," "we," "our," "us"), you ("Client," "you," "your") agree to be bound by these Terms & Conditions ("Terms"). These Terms apply to all visitors, users, and others who access or use our services.

223 Media provides comprehensive podcast production and content ecosystem services, including but not limited to:

  • Podcast episode production and editing
  • Website development and integration
  • Content strategy and ecosystem development
  • Digital marketing and brand development
  • File management and hosting services
  • Client portal access and project management

3. Service Packages and Pricing

We offer various service packages designed to meet different client needs:

  • Ongoing Website Management: $297 per month

4. Payment Terms

Payment Processing

  • All payments are processed securely through Stripe
  • Monthly packages are billed in advance on a recurring basis
  • One-time services require payment before work begins
  • All prices are in USD unless otherwise specified

Billing and Refunds

  • Monthly subscriptions auto-renew unless cancelled
  • Cancellations must be made before the next billing cycle
  • Refunds are considered on a case-by-case basis
  • No refunds for partially completed monthly packages
  • Website development projects are non-refundable once work begins

5. Client Responsibilities

As our client, you agree to:

  • Provide accurate and complete information for your projects
  • Supply necessary content, materials, and assets in a timely manner
  • Respond to requests for feedback and approval within reasonable timeframes
  • Maintain the confidentiality of your account credentials
  • Use our services in compliance with all applicable laws
  • Respect intellectual property rights of third parties

6. Intellectual Property Rights

Client Content

  • You retain ownership of all content you provide to us
  • You grant us a license to use your content solely for providing our services
  • You warrant that you have the right to use all content you provide

Our Work Product

  • Upon full payment, you own the final delivered work products
  • We retain the right to use project elements in our portfolio and marketing
  • Our proprietary methods, processes, and tools remain our intellectual property

7. Service Delivery and Timeline

Production Timeline

  • Podcast Episodes: Standard delivery within 5-7 business days
  • Website Projects: Timeline varies by scope, typically 2-6 weeks
  • Rush Orders: Available for additional fees

Project Delays

Timelines may be extended due to:

  • Client delays in providing materials or feedback
  • Significant changes to project scope
  • Technical issues beyond our control
  • Force majeure events

8. Quality Standards and Revisions

Quality Assurance

  • All work is performed to professional industry standards
  • We provide quality assurance checks before delivery
  • Technical issues will be resolved at no additional cost

Revision Policy

  • Podcast Episodes: 2 rounds of revisions included
  • Website Projects: 3 rounds of revisions included
  • Additional Revisions: Available at $75/hour
  • Major scope changes may require additional agreements

9. Cancellation and Termination

Client Cancellation

  • Monthly packages can be cancelled at any time
  • Cancellation takes effect at the end of the current billing period
  • No partial refunds for unused portions of monthly packages

Our Right to Terminate

We may terminate services for:

  • Non-payment of fees
  • Violation of these Terms
  • Abusive or inappropriate conduct
  • Illegal or harmful use of our services

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the amount paid for the specific service
  • We are not liable for indirect, incidental, or consequential damages
  • We do not guarantee specific business outcomes or results
  • Force majeure events release us from performance obligations

11. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated by reference into these Terms.

12. Confidentiality

We maintain strict confidentiality regarding:

  • Your business information and trade secrets
  • Unpublished content and materials
  • Strategic plans and proprietary information
  • Personal and contact information

13. Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, or other acts of God.

14. Dispute Resolution

We encourage resolving disputes through direct communication. Please contact us first to discuss any concerns.

Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration rather than court proceedings, except for small claims court actions.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to conflict of law principles.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or website notice. Continued use of our services after changes constitutes acceptance of new Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

These Terms constitute the entire agreement between you and 223 Media regarding the use of our services. They supersede all prior agreements, communications, and understandings relating to the subject matter herein.
